Explanation of Responses:

1. These shares represent restricted stock units ("RSUs") and will be settled in common stock as soon as practicable within 60 days following vesting. The RSUs were granted pursuant to an executive employment agreement entered into by and between the reporting person and the issuer dated January 27, 2022, pursuant to which the reporting person was entitled to receive a grant of RSUs for the right to receive the number of shares of the issuer's common stock with an aggregate value of $600,000 based on the fair market value of the issuer's common stock as of January 27, 2022, which was $0.94 per share. 425,532 RSUs vested on August 11, 2022 and the remaining 212,766 RSUs will vest monthly in four equal installments beginning on September 27, 2022.
